Terms And Conditions

Welcome to Yalani. These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile application, and any other online services we offer (collectively, the “Platform”).

By accessing or using Yalani, you agree to comply with and be bound by these Terms. If you do not agree, please do not use the Platform.


1. DEFINITIONS

  1. Account: A registered profile created by a User to access Yalani features.
  2. Customer: Any individual or entity that utilizes both financial and non-financial services through the Platform.
  3. Merchant: Any business that registers to be onboarded on the platform for the purposes of advertising, selling of goods and receipt of payments made in respect of goods purchased through the platform.
  4. Product(s): Any goods or services offered for sale by Merchants through Yalani.


2. ELIGIBILITY.

To use the Platform, you must:

  1. Be at least 18 years old.
  2. Have the capacity to enter into a legally binding agreement.
  3. Use Yalani for lawful purposes only.


3. ACCOUNT REGISTRATION.

  1. You must create an Account to make purchases or list products.
  2. You agree to provide accurate, complete, and up-to-date information.
  3. You are responsible for maintaining the confidentiality of your login credentials.
  4. You must notify us immediately of any unauthorized use of your Account.

We reserve the right to suspend or terminate your Account for any violation of these Terms.


4. PLATFORM ROLE.

Yalani is an intermediary connecting Merchants and Customers.

We:

  1. Do not own or manufacture the products listed.
  2. We will take measures to ensure that products are of good quality but we do not guarantee the quality, safety, legality, or accuracy of products or listings.
  3. Facilitate payment processing and order management, but the sales contract is directly between the Customer and the Merchant.


5. ORDERING AND PAYMENT.

  1. Orders are confirmed upon receipt of payment unless otherwise stated.
  2. We accept multiple payment methods as displayed at checkout.
  3. All prices include applicable taxes unless stated otherwise.
  4. Once an order is placed, cancellations may only be made within 24 hours, subject to Merchant approval.

We reserve the right to cancel any order in case of:

  1. Suspected fraud or unauthorized transactions.
  2. Stock unavailability or system error.


6. DELIVERY AND SHIPPING.

  1. Delivery timelines are estimated and provided by courier partners.
  2. Delays may occur due to factors beyond courier control (e.g., logistics and weather).
  3. Ownership and risk of loss pass to the Customer upon delivery.


7. RETURNS, REFUNDS, AND CANCELLATIONS.

  1. Customers may request a return or refund within 10 days of delivery if the product is defective, damaged, or not as described.
  2. Products must be unused, in their original packaging, and accompanied by proof of purchase.
  3. Refunds will be processed using the original payment method within 3 – 5 days after product inspection.
  4. Certain products (e.g., perishable goods, hygiene items, digital downloads) may not be eligible for return.


8. MERCHANT OBLIGATIONS.

Merchants agree to:

  1. Provide accurate product descriptions and pricing.
  2. Fulfill orders promptly and maintain adequate stock.
  3. Comply with all applicable laws, including consumer protection, taxation, and data privacy regulations.
  4. Handle customer disputes professionally and in good faith.


9. FEES AND COMMISSIONS.

  1. We may charge transaction fees, commissions, or subscription fees for using Yalani.
  2. Fee structures will be communicated in advance and may be updated periodically.
  3. Continued use of Yalani after changes implies acceptance of the new fee structure.


10. INTELLECTUAL PROPERTY.

All content on the Platform, including text, graphics, logos, and software, is the property of Yalani or its licensors. Users may not copy, reproduce, modify, or distribute any content without prior written consent.


11. PROHIBITED CONDUCT.

Users must not:

  1. Use Yalani for fraudulent, illegal, or abusive activities.
  2. Upload harmful software (e.g., viruses, malware).
  3. Misrepresent identity, product details, or pricing.
  4. Infringe on third-party rights, including intellectual property and privacy.


12. LIMITATION OF LIABILITY.

To the fullest extent permitted by law:

  1. Yalani is not liable for any indirect, incidental, or consequential damage arising from your use of the Platform.
  2. Our total liability in any event shall not exceed the total fees paid by you in the preceding [3] months.


13. INDEMNIFICATION.

You agree to indemnify and hold harmless Yalani, its affiliates, employees, and partners from any claims, losses, or damages resulting from your violation of these Terms or misuse of the Platform.


14. PRIVACY AND DATA PROTECTION.

Your personal information is handled in accordance with our [Privacy Policy], which outlines how we collect, use, and protect your data.


15. TERMINATION.

We may suspend or terminate your access without prior notice if you breach these terms.

Upon termination, your right to use Yalani immediately ceases.


16. MODIFICATIONS TO TERMS.

We may update these Terms from time to time. The latest version will be posted on the Platform with the updated “Last Updated” date. Continued use constitutes acceptance of the revised Term.


17. DISPUTE RESOLUTION.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Malawi International Arbitration Centre (“MIAC”) in accordance with the Arbitration Rules of the Malawi International Arbitration Centre (“MIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.

The seat of the arbitration shall be Lilongwe

The Tribunal shall consist of three arbitrator(s).

The language of the arbitration shall be English.


18. GOVERNING LAW AND JURISDICTION.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Malawi. Any disputes shall be subject to the exclusive jurisdiction of the courts in Malawi.
